Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and AiOne LLC ("AiOne," "we," "us," or "our") governing your access to and use of the Meraqi AI design platform and related products and websites (the "Service"). Meraqi is a product of AiOne LLC. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

The Service lets you create, edit, store, and distribute designs and content, including with AI assistance. We may add, change, or remove features over time. We may also set usage limits by plan tier.

3. Subscriptions, billing, and cancellation

• Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Fees, included usage, and limits are shown at the point of purchase.
• Subscriptions renew automatically until cancelled. You may cancel at any time; access continues through the end of the current billing period.
• Except where required by law, fees are non-refundable. We may change pricing on prospective notice.
• You are responsible for applicable taxes.

4. Your content and ownership

You retain all rights you hold in the content you upload or create ("Your Content"). You grant AiOne a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and improve the Service and to perform actions you request (such as distribution). Subject to the rights of any third-party assets you incorporate and to applicable law, AiOne does not claim ownership of designs you generate. You are responsible for ensuring you have the rights to all material you upload.

5. Acceptable use

You agree not to use the Service to:

• Violate any law or the rights of others, including intellectual property, privacy, or publicity rights;
• Upload or distribute unlawful, deceptive, infringing, harassing, or harmful content;
• Send messages that recipients have not consented to receive, or that violate the TCPA, CAN-SPAM, CASL, or carrier rules;
• Create content involving regulated or prohibited messaging categories, including sex, hate, alcohol, firearms, and tobacco (SHAFT), as well as cannabis, gambling, payday lending, or other restricted categories, except as expressly permitted and lawfully registered;
• Probe, scrape, overload, reverse engineer, or interfere with the Service or its security;
• Resell or provide the Service to third parties except as expressly permitted.

We may suspend or terminate accounts that violate this section.

6. SMS and messaging terms

Mobile opt-in data and consent are never shared with third parties for marketing, as described in our Privacy Policy.

Messages you send through the Service. If you use the Service to send messages to recipients you designate (including by bringing your own messaging provider), you are the sender of record. You represent that you have obtained all required consents from your recipients and that your messages comply with all applicable laws and carrier requirements. You are solely responsible for the content of those messages and for honoring opt-out requests. You agree to indemnify AiOne for claims arising from messages you send.

7. Third-party services

The Service integrates with third-party platforms (for example, payment, messaging, and social channels) under their own terms. We are not responsible for third-party services, and your use of them is at your own risk.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by AiOne and its licensors and is protected by law. These Terms grant you no rights to our marks or software except the limited right to use the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AIONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU PAID NOTHING.

11. Indemnification

You agree to indemnify and hold harmless AiOne and its officers, employees, and agents from claims, damages, and expenses arising from Your Content, your messages, or your breach of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. Sections that by their nature should survive termination will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. The state and federal courts located in King, Washington will have exclusive jurisdiction, unless a binding arbitration provision is added below upon counsel's advice.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, provide additional notice where required. Continued use after changes take effect constitutes acceptance.
